Zookeeper, Inc. (“Zoo” “we,” “our” or “us”) offers a mobile cloud based project management system mobile application called Youni, modeled after an archetype of our universe, which contains productivity, collaborative and organizational tools for users (collectively, the “Service”), together with information regarding the subscription for the Service and information regarding ZOO, the Services, and use of and functionality within, the Youni mobile application (the “Application”), and contained on our website located at www.getyouni.com (the “Website”). You, the user is hereinafter in this Privacy Policy referred to as “You” “you” “Your” or “your”.

Your privacy is important to us and we also understand that your privacy is important to You. Consequently, we want to be transparent about the way that we collect, use and share information about You. When You use the Service, the Application and the Website, we collect and process information from and about You in order to provide you with access to the Service and the Application, provide you with an exceptional user experience while using the Service and the Application, and interact with You. This Privacy Policy (the “Privacy Policy”) describes how we collect, use, and disclose information collected through the Service, the Application and Website, and what choices You have with respect to such information, including your right to object to how we use certain information about You. For the purposes of this Privacy Policy, the terms personal data and personal information as used herein shall mean is any information that relates to an identified or identifiable individual.

For the purposes of the California Consumer Privacy Act (“CCPA”), the term Personal Data means any information that identifies, relates to, describes or is capable of being associated with, or could reasonably be linked, directly or indirectly, with You.

If You are part of an organization that makes the Application and the Service available to You as an employee or independent contractor relative to such organization, which organization has entered into a separate agreement with us (the “Organizational Agreement”) with respect to the Application, the Service and the Website and/or the delivery, access and use of the Service, the Application and the Website, and in such case that organization controls the information processed through the Service and the Application.

By accessing or using the Service, the Application and the Website, You acknowledge and agree that You have read, understand, and agree to be bound by this Privacy Policy and our Terms of Service, which is hereby incorporated into and made a part of this Privacy Policy. If You do not agree with this Privacy Policy, please do not access or use the Service, the Application, the Website, or any other part of our business. You may also choose not to provide us with optional data, however please note that without such data, we may not be able to provide You with all of the services that we have, nor may we be able to give You the best user experience.

A. Types of Information Collected. There are a number of different types of information that we collect when You provide it to us, when You subscribe to, access and use the Service and the Application, when you visit the Website and when other sources provide information about You to us, as follows:

1.Information You provide. When you provide information about You directly to us or when you put information into the Service or the Application or the Website, we collect and store that information. This information may include technical and aggregated usage data, date and time stamp of usage, cookies and pixels stored on any device you use to access and use the Service and the Application and all other recorded activity of you or any other users of the Service and the Application. In addition, our phone calls with you may be recorded, tracked and analyzed for a variety of purposes, including analytics, operations, record keeping and quality control.

2.Account Information. When You subscribe to the Service and the Application or visit the Website, create and modify your profile, upload pictures, upload quotes, set preferences or make purchases from within the Service or the Application, we collect and store this information. With your permission, we may also upload calendar information stored on your mobile device to your account. If you submit payment information in connection with your use of the Service and the Application, we utilize a third-party credit card payment processing company to collect payment information, including your credit card number, billing address, and phone number. In such circumstances, the third-party service provider, and not us, stores your payment information on our behalf.

3.User Content Information. When You create, upload, share and store information, data, pictures, documents, to do lists, project information, scheduled tasks and other content (the “Content) from within the Services and the Application we collect and store that Content. That Content includes, but is not limited to, profile pictures, notes to and from other users, project information, project members, to do lists, documents, pictures, links that you upload to and within the Service and the Application and other information and documents that are inputted by You or another user with whom You interact by and through the Service and the Application. You may also choose to upload and have the Service and the Application access your e mail address, your Skype account and your e mail list and the Skype account information of authorized members that you choose to collaborate with through the Service and the Application.

4.Website Content. When you purchase the Service and Application via the Website or provide us with feedback about the Website, Service and Application via the Website or when you participate in promotions, surveys or events, beta tests etc., we collect and store that information.

5.Service Usage Information. As You use the Service, we collect information about how you use and interact with the Service (“Service Usage Information”). Such information includes:

(i)Device information. When You access the Service using a mobile device, we collect certain device information, including the type of device you are using, its operating system, and mobile network information, which may include your mobile phone number. We may also collect your MAC address and other unique device identifiers.

(ii)Log files. When You use the Service, our servers automatically record information in server log files. These log files may include information such as your web request, IP address, browser type and settings, referring/exit pages and URLs, number of clicks, date and time stamp information, language preferences, data from cookies and similar technologies, and other such information.

(iii)Location information. We collect and process general information about the location of the device from which you are accessing the Service (e.g., approximate geographic location inferred from an IP address).

(iv)Metadata. When you interact with the Service, metadata is generated that provides high-level (non-content) information about the way you work within the Service and the Application. For example, we may log the number of projects which You initiate and the number of projects to which You are added as a Member; the features, functionality and content within the Service and Application that You interact with; the types of files You share; and what, if any, third party services and integrations You use.

6.Other Information. You may provide us with information when You interact with us in other ways, such as when you submit requests or questions to us via forms or email (e.g., support forms, sales forms, user research participation forms); information you provide in connection with our sweepstakes, contests, or research studies in which you choose to participate; beta testing; and requests for customer support and technical assistance (collectively, “Other Information”).

7.Information Collected from Third-Party Integrations. If You choose to use or connect to third-party integrations through the Service and the Application, or if You are required or permitted to do so by another user of the Service and the Application, such third parties may allow us to have access to and store additional information about your interaction with those services as it relates to your use of the Service and the Application. If You initiate these connections, You also understand that we will share information about You that is required to enable your use of the third-party integration through the Service and the Application. If You do not wish to have this information shared, do not initiate these connections. By enabling these connections, You authorize us to connect and access the information provided through these connections, and You understand that the privacy policies of these third parties govern such connections.

8.Cookies and other tracking technologies. We and our third party partners in advertising and analytics use cookies and other tracking technologies to provide functionality and to recognize You over other services and devices, so that we may communicate with You while you are using other services and/or devices.

9.Other Users Information. Other users of the Service and the Application, including those other users that You include and authorize in your projects as members and those other users who include You in their projects as members, may provide information about You that we collect and store.

10.Other Third Party Information. We may also receive information about or relative to You from other third party sources as well, including our business partners or service providers.

11.Data collected through analytics tools. We use analytics tools such as Google analytics collect data regarding the use of the Service , the Application and the Website. These tools collect certain data such as how often you visit or use the Service, the Application and the Website, when and which pages they visit and which website, advertisement or e mail message brought them to the Service, the Application and the Website.

B.Use of your Account Information. We use the Account Information that we collect and store as follows:

1.To provide You with the Service and the Application, including but not limited to authentication when You log in to the Service and the Application, provide customer support and to maintain and improve the Service and the Application.

2.To prevent or address technical or security issues and resolve support requests.

3.To investigate when we have a good faith belief, or have received a complaint alleging, that such any User Content in is in violation of our Terms of Service

4.To comply with a valid legal subpoena, request, or other lawful process that meets the requirements of the Terms of Service

5.As otherwise set forth in our Organizational Agreement or as expressly permitted in writing by the Organization or You.

C.Use of the information in Section B above. We use the Account Information, the User Content Information, the Service Usage Information, the Other Information, Information Collected from Third Party Integrations, Cookies and Other Tracking Technologies, Other Information and Other Third Party Information to:

1.Maintain, provide, and improve the Service and the Application.

2.Respond to your requests for information.

3.Prevent or address technical or security issues and resolve support requests.

4.Investigate in good faith alleged violations of our Terms of Service.

5.Comply with a valid legal subpoena, request, or other lawful process that meets the requirements of our Terms of Service.

6.Help us better understand user interests and needs, and customize the Service and the Application for our users.

7.Engage in analysis, research, and reports regarding your use of the Service and the Application.

8.Protect the Service, the Application and our users.

9.Communicate with you via email and through the Service and Application about important notices and updates regarding the Service and the Application, such as to inform you about changes in the Service and Application, our additional service offerings, and important Service-related notices, such as about security and fraud. Because these communications are an important part of the Service, you may not opt out of them.

10.In accordance with applicable legal obligations, communicate with you about promotions, offers, and news about us, the Service and the Application. You have the ability to unsubscribe from such promotional communications.

11.Provide cross-device management of your account. For example, we may locate or try to locate the same unique users across multiple browsers or devices (such as smartphones or tablets), or work with service providers that do this, in order to save your preferences across devices and analyze usage of the Service and the Application. If you wish to opt out of the ability of one our service providers, Google Analytics, to locate you across devices in this way, you may install the Google Analytics Opt-out Browser Add-on.

12.Protect our legitimate business interests and legal rights where required by law and when and where we believe it is necessary to protect the rights of others.

13.Market and promote the Service and the Application.

14.Allow You to collaborate with other users who You provide authority as members of your project or who provide You with authority as a member of their project.

15.Allow third party service providers to provide Website and Service and Application development and modifications and upgrades thereto, hosting, maintenance, storage, backup, payment processing and other services.

D.Sharing your information. We may share the Account Information, the User Content Information, the Service Usage Information, the Other Information, Information Collected from Third Party Integrations, Cookies and Other Tracking Technologies, Other Information and Other Third Party Information as follows:

1.With our affiliates and other companies with whom we do business for the purposes described in this Privacy Policy.

2.To comply with any legal requirements, in response to a subpoena, search warrant or court order or to otherwise comply with any law or regulation.

3.With third party service providers to provide Website and Service and Application development and modifications and upgrades thereto, hosting, maintenance, support, storage, backup, payment processing, communications, fraud detection, analytics, e mail distribution and monitoring, recording, video conferencing, voice mails, social and advertising networks, content providers, customer support services, and other services required to provide you with full access to the features and functionality within the Service and the Application, as well as our legal and financial advisors.

4.For purposes of collaboration with members that you authorize access to the projects that You create using the Service and the Application and for those other users who authorize You as a member to access their projects using the Service and the Application.

5.With respect to Links to other third party websites or service providers and information posted, shared, used or accessed by You or other users of the Service and the Application relative to such third party websites or service providers , any information that You submit, process, link to or otherwise use in connection with such third party websites or service providers by is governed by the privacy practices, terms of service and polies of such third party websites and service providers and not this Privacy Policy.

6.If the ownership of all or substantially all of our business changes, we may transfer your information to the new owner so that the Service and the Application can continue to operate. In such case, your information would remain subject to the promises and commitments contained in this Privacy Policy until such time as the acquiring party modifies it. If such transfer is subject to additional mandatory restrictions under applicable laws, we will comply with such restrictions.

7.We may combine the information that we collect through the Service with information that we receive from other sources, both online and offline, and use such combined information in accordance with this Privacy Policy and the Terms of Service and any Organizational Agreement.

8.In connection with the purposes set forth section B above in this Privacy Policy.

E.Retention Period.

We will retain your information for the period necessary to fulfill the purposes outlined in this Privacy Policy unless a longer retention period is required or permitted by law, or where the Organizational Agreement requires or permits specific retention or deletion periods.

F.Data Security. In order to protect your data and information, we are using industry standard organizational and technical security measures, including encryption. However, regardless of any security measures used to secure and protect your data, no security system is impenetrable and due to the inherent nature of the Internet, we cannot guarantee that information, during transmission through the Internet or while stored on our systems or otherwise in our care, is absolutely safe from intrusion by others.

G. Website Visitors

1.Site Visitors. Users who visit our website are called “Site Visitors. Site Visitors can be individuals who are simply browsing the Website but who do not use the Service or the Application; or, Site Visitors can be people who try the service for free but do not subscribe to the Service and the Application or they may be Subscribers who visit the Website to seek additional information about us. We are the data controller of the information collected through the Website about Site Visitors.

2.Applicable Rules. Whether or not You are also a user of the Service and the Application the following rules apply to You. The provisions of this section apply only to use of the Website, not to use of the Service and the Application.

(i)If you are a Site Visitor located in the European Union, we the data controller with respect to the processing of your personal data pursuant to the EU General Data Protection Regulation (“GDPR”).

(ii)When You use the Website, we collect the following information about You:

(a)Contact Information. If You submit a request for information or a question through the Website, we may ask You to provide us with basic information including your name, email address, phone number, and postal address. We will also keep records of the communication, the question You asked and/or the request or comment You made, and how it was resolved. If You choose to participate in one of our sweepstakes, contest, or research study offered through the Website, we will also collect basic contact information from You in connection with such activity.

(b)Website Usage Information. As you browse the Website, we and our service providers (which are third party companies that work on our behalf to provide and enhance the Website) use a variety of technologies, including cookies and similar tools, to assist in collecting information about how You and other Site Visitors use the Website. For example, our servers automatically record certain information in server logs. These server logs may include information such as your web request, IP address, browser type and settings, referring / exit pages and URLs, number of clicks and how You interact with links on the Websites, domain names, landing pages, pages viewed, mobile carrier, mobile device identifiers and information about the device You are using to access the Websites, date and time stamp information and other such information.

(c)Location Information. We collect and process general information about the location of the device from which You are accessing the Website.

(iii)In order to collect the Websites Usage Information discussed in section G (ii)(b) above, we and our service providers use Internet server logs, cookies, tags, SDKs, tracking pixels, and other similar tracking technologies. A web server log is a file where website activity is stored. An SDK is a section of code that we embed in our applications and software to allow third parties to collect information about how users interact with the Websites. A cookie is a small text file that is placed on your computer or mobile device when You visit a site, that enables us to:

(a)recognize your computer and login session;

(b)store your preferences and settings;

(c)understand which pages of the Websites You have visited;

(d)enhance your user experience by delivering and measuring the effectiveness of content and advertising tailored to your interests;

(e)perform analytics; and,

(f)assist with security and administrative functions.

(iv)We also use tracking pixels (sometimes referred to as web beacons or clear GIFs) which are tiny electronic tags with a unique identifier embedded in websites, online ads and/or email, and that are designed to provide usage information like ad impressions or clicks, email open rates, measure popularity of the Website and associated advertising, and to access user cookies.

(v)As we and third party service providers adopt and implement additional technologies, we may also gather information through other methods. Please note that You can change your settings to notify You when a cookie is being set or updated, or to block cookies altogether. Please consult the “Help” section of your browser for more information about this.

3.Usage of the information collected. We use the information collected from Site Visitors for a variety of purposes including to:

(i)Maintain, provide, and improve the Website and the Service and the Application.

(ii)Respond to your requests for information.

(iii)In accordance with applicable legal obligations, communicate with You about promotions, offers, and news about us. You have the ability to unsubscribe from such promotional communications.

(iv)Prevent or address technical or security issues.

(v)Investigate in good faith alleged violations of our Terms of Service

(vi)Help us better understand Site Visitors interests and needs, and customize the advertising and content You and other users see on the Website.

(vii)Engage in analysis and research regarding use of the Website and the Service and the Application

4.Combining Information from other sources. You agree that, for the purposes discussed in this Privacy Policy, we may combine the information that we collect through the Website with information that we receive from other sources, both online and offline, and use such combined information in accordance with this Privacy Policy. If, however, the collection of any information about You is governed by an Organizational Agreement, information will only be combined and used in accordance with such Organizational Agreement and the sections of this Privacy Policy applicable to Subscribers.

5.Website Analytics. We may use third-party web analytics services on our Website to collect and analyze usage information through cookies and similar tools; engage in auditing, research, or reporting; and provide certain features to You. To prevent Google Analytics from using your information for analytics, you may install the Google Analytics Opt-out Browser Add- on.

6. Third Party Integration. The Websites may integrate third-party advertising technologies that allow for the delivery of relevant content and advertising on the Websites, as well as on other websites You visit. The ads may be based on various factors and metrics such as the content of the page You are visiting, information You enter such as your age and gender, your searches, demographic data, and other information we collect from You.

7.Third party advertisers.

(i)Third parties, whose products or services are accessible or advertised via the Website, may also place cookies or other tracking technologies on your computer, mobile phone, or other device to collect information about You as discussed above. We may also allow other third parties such as ad networks and ad servers such as Google Analytics, DoubleClick and others) to serve tailored ads to You on our Website and other websites and to access their own cookies or other tracking technologies on your computer, mobile phone, or other device You use to access the Website. We sometimes provide Site Visitor information (such as email addresses) to service providers, who may “match” this information in de-identified form to cookies (or mobile ad identifiers) and other proprietary IDs, in order to provide You with more relevant ads when You visit other websites.

(ii)We neither have access to, nor does this Privacy Policy govern, the use of cookies or other tracking technologies that may be placed on the device You use to access the Website by such non-affiliated third parties. If You are interested in more information about tailored browser advertising and how you can generally control cookies from being put on your computer to deliver tailored advertising, you may visit the Network Advertising Initiative’s Consumer Opt- Out link, the Digital Advertising Alliance’s Consumer Opt-Out link, or Your Online Choices to opt-out of receiving tailored advertising from companies that participate in those programs. To opt out of Google Analytics for display advertising or customize Google display network ads, visit the Google Ads Settings page. We do not control these opt-out links or whether any particular company chooses to participate in these opt-out programs. We are not responsible for any choices You make using these mechanisms or the continued availability or accuracy of these mechanisms.

(iii)Please note that if You exercise the opt-out choices above, you will still see advertising when you use the Website, but it will not be tailored to you based on your online behavior.

7.Notice Concerning Do Not Track (“DNT”) is a privacy preference that users can set in certain web browsers. We are committed to providing You with meaningful choices about the information collected on our Website for third party purposes, and that is why we provide the variety of opt-out mechanisms listed above. However, we do not currently recognize or respond to browser-initiated DNT signals.

8.Sharing information collected through the website. We share the information we collect through the Website with the following:

(i)Affiliates and Subsidiaries. We may share the information we collect with our affiliates and subsidiaries.

(ii)Service Providers. We may provide access to or share your information with select third parties that use the information only to perform services on our behalf. These third parties provide a variety of services to us, including but not limited to sales, marketing, provision of content and features, advertising, analytics, research, data storage, security, fraud prevention, and other services.

(iii)Successors In Interest. If the ownership of all or substantially all of our business changes, we may transfer your information to the new owner so that the Website can continue to operate. In such case, your information would remain subject to the promises and commitments contained in this Privacy Policy until such time as this Privacy Policy is updated or amended by the acquiring party upon notice to You. If such transfer is subject to additional mandatory restrictions under applicable laws, we will comply with such restrictions.

(iv)Your Consent. We may also disclose your information to third parties with your prior consent to do so.

9.Retention of Information.

We will retain your information for the period necessary to fulfill the purposes outlined in this Policy unless a longer retention period is required or permitted by law.

10.Links to third party providers.

The Website may contain links to third-party websites and functionalities. If You choose to use these third-party services, You may disclose your information not just to those third-parties, but also to their users and the public more generally depending on how their services function.

Because these third-party websites and services are not operated by us, we are not responsible for the content or practices of those websites or services. The collection, use, and disclosure of your information will be subject to the privacy policies of the third-party websites or services, and not this Privacy Policy.

H.Rights in Your Information and Data. The following rights apply to use of the Service, the Application and the Website.

1. Generally. If you wish to exercise your rights under any applicable law, including the EU General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA), such as the right to request access to, and/or to modify or erase any of your personal data held by us, or to restrict or object to your personal data processing or the right to equal services and prices (each to the extent available to You under the law that applies to You, please e mail us at privacy@getyouni.com.

2.EU General Data Protection Regulation (“GDPR”)

(i)If You are located in the EU, please note that the legal bases under the EU General Data Protection Regulation (“GDPR”) for using the information we collect through your use of the Service, the Application and the Website are as follows:

a.Where use of your information is necessary to perform our obligations under a contract with You (for example, to comply with the Terms of Service) which You accept by using the Service, the Application and the Website.

b.Where use of your information is necessary for our legitimate interests or the legitimate interests of others (for example, to provide security for our Service, the Application and the Website; operate our Service, the Application and the Website; prevent fraud, analyze use of and improve our Service, Application and the Website, and for similar purposes).

c.Where use of your information is necessary to comply with a legal obligation.

d.Where we have your consent to process data in a certain way.

(ii)Local legal requirements (such as those in the EU) may afford you additional rights. Your local laws (such as those in the EU) may permit you to request that we:

a.provide access to and/or a copy of certain information we hold about you.

b.prevent the processing of your information for direct-marketing purposes (including any direct marketing processing based on profiling).

c.update information which is out of date or incorrect.

d.delete certain information which we are holding about You.

e.restrict the way that we process and disclose certain of your information.

f.transfer your information to a third party provider of services.

g.revoke your consent for the processing of your information.

(iii)We will consider all requests and provide our response within the time period stated by applicable law. Please note, however, that certain information may be exempt from such requests in some circumstances, which may include if we need to keep processing your information for our legitimate interests or to comply with a legal obligation. We may request You provide us with information necessary to confirm your identity before responding to your request.

3.California Consumer Privacy Act (“CCPA”)

(i)Under this Privacy Policy, and by law if You are a resident of California, You have the following rights:

(a)The right to notice. You must be properly notified which categories of Personal Data are being collected and the purposes for which the Personal Data is being used.

(b)The right to access / the right to request. The CCPA permits You to request and obtain from us information regarding the disclosure of Your Personal Data that has been collected in the past 12 months by us or our subsidiaries to a third-party for the third party's direct marketing purposes.

(c)The right to say no to the sale of Personal Data. You also have the right to ask us not to sell Your Personal Data to third parties. You can submit such a request by visiting our Website and notifying us at privacy@getyouni.com.

(d)The right to know about Your Personal Data. You have the right to request and obtain from us information regarding the disclosure of the following:

(1)The categories of Personal Data collected

(2)The sources from which the Personal Data was collected

(3)The business or commercial purpose for collecting or selling the Personal Data

(4)Categories of third parties with whom We share Personal Data

(5)The specific pieces of Personal Data we collected about You

(e)The right to delete Personal Data. You also have the right to request the deletion of Your Personal Data that has been collected in the past 12 months.

(f)The right not to be discriminated against. You have the right not to be discriminated against for exercising any of Your Consumer's rights, including by:

(1)Denying goods or services to You

(2)Charging different prices or rates for goods or services, including the use of discounts or other benefits or imposing penalties

(3)Providing a different level or quality of goods or services to You

(4)Suggesting that You will receive a different price or rate for goods or services or a different level or quality of goods or services.

(ii)Exercising Your CCPA Data Protection Rights

In order to exercise any of Your rights under the CCPA, and if You are a California resident, You can email us at privacy@getyouni.com. We will disclose and deliver the required information free of charge within 45 days of receiving Your verifiable request. The time period to provide the required information may be extended once by an additional 45 days when reasonable necessary and with prior notice.

(iii)Sale of Personal Information

(a)Please note that the CCPA sets forth certain obligations for businesses that “sell” personal information to third parties. We do not engage in such activity and have not engaged in such activity in the past twelve months from the effective date of this Privacy Policy.

(b)You can also stop the collection of location information from Your mobile device by changing the preferences on your mobile device.

4.“Do Not Track” Policy as required by California Online Privacy Protection Act (“CalOPPA”). Our Service and Application does not respond to Do Not Track signals. However, some third party websites do keep track of Your browsing activities. If You are visiting such websites, You can set Your preferences in Your web browser to inform websites that You do not want to be tracked. You can enable or disable DNT by visiting the preferences or settings page of Your web browser.

5.Your California Privacy Rights (California’s Shine the Light Law).

(i)Under California Civil Code Section 1798 (California's Shine the Light law), California residents with an established business relationship with us can request information once a year about sharing their Personal Data with third parties for the third parties' direct marketing purposes. If You would like to request more information under the California Shine the Light law, and if You are a California resident, You can contact Us using the contact information provided below.

(ii)California Privacy Rights for Minors (California Business and Professions Code)

(a)California Business and Professions Code section 22581 allow California residents under the age of 18 who are registered users of online sites, services or applications to request and obtain removal of content or information they have publicly posted.

(b)To request removal of such data, and if You are a California resident, You can contact us using the contact information provided below, and include the email address associated with Your account.

(c)Be aware that your request does not guarantee complete or comprehensive removal of content or information posted online and that the law may not permit or require removal in certain circumstances.

6.Right to Amend. We reserve the right to amend this Privacy Policy at any time to reflect changes in the law, our data collection and use practices, the features of our Service, the Application or Website, or advances in technology. We will make the revised Privacy Policy accessible through the Service, the Application and Website, so You should review the Privacy Policy periodically. If we make a material change to the Privacy Policy, we will comply with applicable legal requirements regarding providing You with notice and/or consent.

7.Security. In order to protect your data and information, we are using industry standard organizational and technical security measures.
